These terms of service (hereinafter — the Terms) govern the use of the website codelab.lt and the provision of services by Codelab, MB (hereinafter — Codelab, we). By using this website or ordering our services, you agree to these Terms.

2. SERVICES

Codelab provides design, engineering, and brand services — including interface design, web development, brand identity, and the ongoing website care service Curator. The specific scope, deliverables, timeline, and price of each engagement are defined in an individual proposal, estimate, or service agreement, which together with these Terms forms the entire agreement between you and Codelab. In case of conflict, the individual agreement prevails over these Terms.

3. QUOTES AND PAYMENT

  • Quotes and proposals are valid for 30 calendar days unless stated otherwise.

  • Work is invoiced as agreed in the proposal — typically an advance payment before work begins and the balance on delivery, or monthly for ongoing services.

  • Invoices are payable within 14 calendar days unless agreed otherwise. We may suspend work on overdue accounts after written notice.

  • Curator plans are billed annually in advance and renew automatically unless cancelled in writing at least 30 days before the renewal date.

4. CLIENT OBLIGATIONS

To keep projects on schedule, you agree to:

  • Provide the materials needed for the work (content, brand assets, access credentials) in a timely manner, and warrant that you hold the necessary rights to everything you provide.

  • Review deliverables and give feedback within the timeframes agreed in the proposal. Extended silence may shift the timeline.

  • Designate one person authorised to approve deliverables on your behalf.

5. INTELLECTUAL PROPERTY

  • Your work product: Upon full payment, the agreed final deliverables and the rights to them are transferred to you.

  • Our tools: Pre-existing materials, internal tools, libraries, and know-how used to produce the deliverables remain the property of Codelab. You receive a non-exclusive licence to use them as part of the deliverables.

  • Third-party components: Open-source software, fonts, and stock assets remain subject to their own licences.

  • Portfolio: Unless agreed otherwise in writing, Codelab may present the completed work in its portfolio and communications.

6. WARRANTIES AND DISCLAIMERS

We deliver our work with professional skill and care. Beyond what is expressly agreed in an individual agreement, services and this website are provided "as is", without warranties of any kind — including fitness for a particular purpose or uninterrupted, error-free operation of the website.

7. LIMITATION OF LIABILITY

To the extent permitted by law, Codelab's total liability arising from an engagement is limited to the fees you paid for the services giving rise to the claim. We are not liable for indirect or consequential damages, including lost profit, lost data, or business interruption. Nothing in these Terms limits liability that cannot be limited under the law of the Republic of Lithuania.

8. THIRD-PARTY SERVICES

Deliverables may depend on third-party services (hosting, analytics, payment, email). Their availability and terms are governed by their own agreements, and we are not responsible for their acts or omissions.

9. USE OF THIS WEBSITE

The content of this website — text, visuals, and code — belongs to Codelab or its licensors and may not be reproduced for commercial purposes without permission. You agree not to misuse the website, including attempting to disrupt its operation or accessing it by automated means in breach of the published policies. Processing of personal data and cookies is described in our privacy policy.

10. GOVERNING LAW AND DISPUTES

These Terms are governed by the law of the Republic of Lithuania. Disputes are first addressed through good-faith negotiation; failing that, they are settled by the competent courts of Vilnius, Lithuania.

11. CHANGES TO THESE TERMS

We may update these Terms from time to time. The current version is always published on this page with its date of last update. Engagements are governed by the version in force when the individual agreement was concluded.
